1. Definitions & Interpretation
For the purposes of this Agreement, the following terms shall have the meanings set forth below, and all defined terms shall be equally applicable whether used in the singular or plural:
- "Agreement" means these Terms and Conditions, together with any applicable order confirmations, shipping notices, and supplementary policies incorporated by reference.
- "Products" means all peptides, peptide blends, research compounds, chemical intermediates, lyophilized powders, reconstitution materials, protocols, datasheets, certificates of analysis, and any other tangible or intangible items sold, licensed, or distributed by Zurich Biotech.
- "Buyer" or "Purchaser" means any natural person, legal entity, institution, laboratory, or organization that accesses the Website, places an order, or otherwise engages with Zurich Biotech.
- "Website" means the internet domain zurichbiotech.com and all subdomains, mobile applications, APIs, and affiliated digital properties operated by or on behalf of Zurich Biotech.
- "Research Use Only" or "RUO" means use exclusively for in vitro laboratory research, analytical testing, and controlled scientific experimentation not involving human or animal subjects, clinical trials, therapeutic administration, or diagnostic applications.
- "Certificate of Analysis" or "CoA" means the document accompanying a Product that reports analytical data such as mass spectrometry results, high-performance liquid chromatography purity percentages, and other quality control metrics. The CoA is provided for informational purposes only and does not constitute a warranty or guarantee.
- "Regulatory Authority" means any governmental agency, department, ministry, or body with jurisdiction over the import, export, possession, sale, distribution, or use of research chemicals, including but not limited to the U.S. Food and Drug Administration (FDA), the European Medicines Agency (EMA), the Swiss Agency for Therapeutic Products (Swissmedic), the Therapeutic Goods Administration (TGA), Health Canada, and all analogous national or subnational bodies.
- "Working Day" means any day other than Saturday, Sunday, or a public holiday in the Canton of Zurich, Switzerland.
- "Confidential Information" means all non-public information disclosed by Zurich Biotech, including but not limited to pricing, supplier identities, synthesis methods, formulation data, customer lists, and business strategies.
Headings are for convenience only and shall not affect interpretation. References to "including" or "such as" are illustrative and not limiting. Any word denoting gender includes all genders. References to statutes include all amendments, re-enactments, and successor legislation.
2. Eligibility & Purchaser Representations
2.1 Minimum Age
You represent and warrant that you are at least twenty-one (21) years of age and possess the legal capacity to enter into binding contracts in your jurisdiction of residence. If you are placing an order on behalf of an institution, you represent and warrant that you are duly authorized to bind that institution to this Agreement.
2.2 Qualified Researcher Status
You represent and warrant that you are a qualified researcher, scientist, or laboratory professional affiliated with a bona fide academic institution, pharmaceutical company, biotechnology firm, contract research organization, or similarly credentialed research entity. You further represent that you possess the necessary training, expertise, and laboratory infrastructure to handle, store, and dispose of research chemicals safely and in compliance with all applicable biosafety, chemical safety, and environmental regulations.
2.3 Compliance with Applicable Law
You represent and warrant that the purchase, importation, possession, and intended use of the Products is lawful in your jurisdiction and does not violate any statute, regulation, treaty, or international agreement. You acknowledge that laws governing research chemicals vary significantly by country, state, province, and locality, and it is your sole responsibility to determine and comply with all such laws.
2.4 No Prohibited Use
You represent and warrant that you will not use the Products for any purpose prohibited by this Agreement, including but not limited to human or animal consumption, clinical administration, diagnostic testing, cosmetic application, or resale to unqualified third parties.
2.5 Accuracy of Information
You represent and warrant that all information provided to Zurich Biotech (including your name, institutional affiliation, shipping address, billing information, and intended use) is true, accurate, current, and complete. You agree to promptly update this information if it changes.
2.6 No Conflict of Interest
You represent and warrant that your purchase is not intended to facilitate competitive intelligence gathering, reverse engineering, or unauthorized replication of Zurich Biotech's products or synthesis processes for commercial distribution by third parties.
3. Nature of Products: Research Use Only
3.1 Explicit Research Designation
All Products sold by Zurich Biotech are explicitly and exclusively designated as Research Use Only (RUO). They are manufactured, packaged, labeled, and sold solely for use in controlled laboratory settings by qualified scientific personnel. Under no circumstances are the Products intended for:
- Human consumption, inhalation, injection, transdermal absorption, or any other form of administration to the human body;
- Veterinary use, animal testing, or administration to any living organism;
- Diagnostic procedures, whether in vitro or in vivo;
- Therapeutic, prophylactic, or palliative treatment of any disease, condition, or symptom;
- Cosmetic, nutraceutical, or dietary supplement applications;
- Food additive or agricultural uses;
- Any commercial application without a valid license from the relevant Regulatory Authority.
3.2 Labeling & Warnings
All Products are labeled with appropriate hazard warnings, storage instructions, and the explicit statement "FOR RESEARCH USE ONLY. NOT FOR HUMAN CONSUMPTION." The absence of a specific warning does not imply safety for unauthorized uses. You agree to maintain all original labeling and to transfer such labeling to any secondary containers or derivative preparations.
3.3 No Clinical Grade Claims
Zurich Biotech does not claim, represent, or warrant that its Products meet Good Manufacturing Practice (GMP), Good Laboratory Practice (GLP), Current Good Manufacturing Practice (cGMP), or any pharmaceutical-grade standard suitable for human administration. The Products are manufactured to research-grade specifications only. Purity percentages stated on Certificates of Analysis reflect analytical testing under specific conditions and do not imply suitability for clinical or therapeutic use.
3.4 Investigator Responsibility
You acknowledge that you are the principal investigator or authorized representative responsible for ensuring that all research conducted with the Products complies with applicable institutional review board (IRB), ethics committee, animal care and use committee (IACUC), biosafety committee, and regulatory requirements. Zurich Biotech has no oversight, control, or responsibility for your research methodology, experimental design, or safety protocols.
3.5 Prohibition on Self-Experimentation
You expressly covenant that you will not, under any circumstances, self-administer, self-test, or otherwise use the Products on your own body or the bodies of colleagues, family members, friends, or acquaintances. Self-experimentation is strictly prohibited and constitutes a material breach of this Agreement.
4. Assumption of Risk: Complete and Unconditional
4.1 Acknowledgment of Inherent Risks
You expressly acknowledge and understand that research peptides, synthetic compounds, and lyophilized biological materials carry inherent, unpredictable, and potentially severe risks. These risks include but are not limited to:
- Chemical Instability: Peptides may degrade, hydrolyze, oxidize, or undergo conformational changes under improper temperature, pH, light, or humidity conditions, resulting in altered biological activity or the formation of toxic byproducts;
- Contamination: Despite quality control measures, there remains a non-zero risk of microbial contamination, endotoxin presence, residual solvents, heavy metals, or other impurities;
- Unknown Pharmacology: The long-term effects, chronic toxicity, carcinogenicity, teratogenicity, mutagenicity, and immunogenicity of many research peptides have not been fully characterized in peer-reviewed literature;
- Drug Interactions: Research compounds may interact unpredictably with other chemicals, reagents, buffers, or (if misused) with prescription medications, over-the-counter drugs, or endogenous biological pathways;
- Regulatory Seizure: Customs authorities, postal inspectors, or law enforcement agencies in your jurisdiction may detain, seize, destroy, or investigate shipments containing research chemicals, regardless of their lawful status in Switzerland;
- Legal Penalties: Possession, importation, or distribution of research chemicals may result in civil fines, criminal charges, asset forfeiture, imprisonment, or deportation in certain jurisdictions;
- Reputational Risk: Association with research chemical vendors may result in professional sanctions, loss of institutional funding, revocation of licenses, or damage to academic or commercial standing;
- Environmental Hazard: Improper disposal of research chemicals may contaminate soil, water, or air, resulting in environmental liability and regulatory penalties.
4.2 Voluntary Assumption
By placing an order, you voluntarily, knowingly, and intelligently assume all risks associated with the Products, whether known or unknown, foreseeable or unforeseeable, ordinary or extraordinary. This assumption of risk is a material inducement for Zurich Biotech to enter into this Agreement and to process your order. You acknowledge that but for your express assumption of these risks, Zurich Biotech would not sell the Products to you.
4.3 Independent Risk Assessment
You represent that you have conducted or will conduct an independent risk assessment appropriate to your research objectives, laboratory conditions, and regulatory environment. You agree that Zurich Biotech is not responsible for evaluating the suitability of any Product for your specific research application.
5. No Medical, Legal, or Regulatory Advice
5.1 General Disclaimer
Zurich Biotech is a supplier of research materials, not a medical practice, law firm, or regulatory consultancy. Nothing on this Website or in any communication from Zurich Biotech constitutes medical advice, legal advice, or regulatory guidance. All content (including product descriptions, protocol suggestions, dosing calculators, scientific summaries, research briefs, blog posts, whitepapers, and customer support responses) is provided for informational and educational purposes only.
5.2 No Reliance
You agree that you will not rely upon any information provided by Zurich Biotech as a substitute for independent professional advice from qualified physicians, pharmacologists, toxicologists, attorneys, or regulatory consultants. Any reliance you place on such information is strictly at your own risk.
5.3 Protocol Information
Research protocols, dosing guidelines, and administration schedules described on the Website are derived from publicly available scientific literature and are provided as hypothetical frameworks for laboratory planning. They are not prescriptions, treatment plans, or recommendations for human or animal use. You are solely responsible for designing, validating, and executing research protocols appropriate to your specific experimental objectives.
5.4 Regulatory Compliance Responsibility
You are solely responsible for:
- Determining whether the Products are classified as controlled substances, prescription drugs, novel foods, cosmetics, or other regulated categories in your jurisdiction;
- Obtaining and maintaining all necessary import licenses, export licenses, permits, authorizations, registrations, and notifications required by law;
- Complying with customs declarations, product classifications, hazardous materials shipping regulations, and any other import/export requirements;
- Ensuring that your possession, storage, handling, and disposal of the Products comply with all applicable occupational health and safety, environmental protection, biosafety, and chemical control laws;
- Reporting any adverse events, incidents, or regulatory inquiries to the appropriate authorities in a timely manner.
5.5 Third-Party Information
The Website may contain links to third-party websites, research papers, or databases. Zurich Biotech does not endorse, verify, or assume responsibility for the accuracy, completeness, or legality of third-party content. Access to such content is at your sole risk.
6. Ordering, Payment & Title
6.1 Order Acceptance
Submission of an order through the Website does not constitute acceptance by Zurich Biotech. All orders are subject to review, verification, and acceptance at Zurich Biotech's sole discretion. We reserve the right to refuse or cancel any order for any reason, including but not limited to suspected violation of this Agreement, unavailability of Product, pricing errors, or concerns regarding lawful end-use.
6.2 Pricing & Currency
All prices are quoted in Indonesian Rupiah (IDR) unless otherwise specified. Prices do not include shipping, insurance, customs duties, taxes, VAT, or other governmental charges unless explicitly stated. You are responsible for all such additional charges. Zurich Biotech reserves the right to modify prices at any time without prior notice, except that the price in effect at the time of order acceptance shall govern.
6.3 Payment Terms
Full payment is required before order processing. Accepted payment methods are those displayed at checkout. Zurich Biotech may, at its discretion, accept bank transfers, cryptocurrency, or other alternative payment methods subject to additional verification requirements. Payment processing is conducted through third-party payment processors; Zurich Biotech does not store complete credit card numbers.
6.4 Fraud Prevention
Zurich Biotech employs fraud detection measures and reserves the right to request additional verification (government-issued identification, institutional affiliation confirmation, or other documentation) before processing any order. Failure to provide satisfactory verification within five (5) Working Days may result in order cancellation without refund of processing fees.
6.5 Title & Risk of Loss
Title to the Products passes to you upon full payment. Risk of loss, damage, or destruction passes to you upon delivery to the carrier for shipment, except where local law mandates otherwise, in which case risk passes at the earliest point permitted by law.
6.6 Order Modifications
Once an order has been submitted, it may not be modified or cancelled except with Zurich Biotech's express written consent. Orders that have entered the fulfillment or shipping pipeline are non-cancellable and non-refundable.
7. Shipping, Customs & Import Compliance
7.1 Shipping Methods
Zurich Biotech will ship Products using commercially reasonable carriers and methods. Delivery timeframes are estimates only and are not guaranteed. Zurich Biotech is not liable for delays caused by carrier disruptions, weather events, customs inspections, or other circumstances beyond its reasonable control.
7.2 Customs & Importation
You are the importer of record for all international shipments. You are solely responsible for:
- Ensuring that the Products may be lawfully imported into your country;
- Providing accurate and complete customs documentation and declarations;
- Paying all customs duties, tariffs, taxes, VAT, brokerage fees, and other import charges;
- Responding to customs inquiries, inspections, or requests for additional information;
- Complying with any quarantine, phytosanitary, or biosafety import requirements.
7.3 Seizure & Non-Delivery
Zurich Biotech shall not be liable for Products detained, seized, destroyed, or refused entry by customs or regulatory authorities. If a shipment is returned to Zurich Biotech due to your failure to comply with import requirements, you may be charged a restocking and reshipment fee equal to twenty-five percent (25%) of the order value plus actual return shipping costs. No refund will be issued for Products destroyed by authorities.
7.4 Address Accuracy
You are responsible for providing a complete, accurate, and deliverable shipping address. Zurich Biotech is not liable for misdelivery, non-delivery, or return due to incorrect address information. Costs associated with address correction or reshipment are your sole responsibility.
7.5 Temperature-Controlled Products
Certain Products may require cold-chain shipping. You agree to inspect temperature-sensitive shipments immediately upon receipt and to store Products under the conditions specified on the label and CoA. Zurich Biotech's liability for temperature excursions during transit is limited to the replacement of the affected Product at its discretion, subject to your provision of photographic evidence and notification within the timeframe specified in Section 13.
8. Limitation of Liability: Absolute Exclusion
8.1 Exclusion of Direct Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ZURICH BIOTECH PARTIES SHALL NOT BE LIABLE FOR ANY DIRECT DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PRODUCTS, THE WEBSITE, OR THIS AGREEMENT, EXCEPT TO THE EXTENT OF THE PURCHASE PRICE ACTUALLY PAID FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM.
8.2 Exclusion of Consequential & Indirect Damages
IN NO EVENT SHALL THE ZURICH BIOTECH PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Personal injury, bodily harm, illness, disability, disfigurement, or death, regardless of whether such harm results from the Product itself, improper handling, misuse, or any other cause;
- Property damage, destruction, or loss, including damage to laboratory equipment, facilities, or other tangible assets;
- Loss of profits, revenue, anticipated savings, business opportunities, or goodwill;
- Loss of data, research results, intellectual property, or proprietary information;
- Business interruption, delay, or inability to conduct research or commercial operations;
- Costs of substitute goods, services, or research materials;
- Emotional distress, mental anguish, pain and suffering, loss of enjoyment of life, or reputational harm;
- Legal fees, court costs, arbitration fees, expert witness fees, or other litigation expenses;
- Regulatory fines, civil penalties, criminal sanctions, or punitive damages imposed by any governmental authority;
- Any other loss, damage, cost, or expense of any kind or character, whether foreseeable or unforeseeable.
8.3 Liability Cap
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE ZURICH BIOTECH PARTIES EXCEED THE LESSER OF (A) THE AMOUNT YOU ACTUALLY PAID FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM, OR (B) SWISS FRANC FIVE HUNDRED (CHF 500.00). THIS CAP APPLIES REGARDLESS OF THE NUMBER OF CLAIMS, THE NUMBER OF PARTIES INVOLVED, OR THE THEORY OF LIABILITY ASSERTED.
8.4 Application to All Theories
The limitations and exclusions in this Section 8 apply regardless of the legal theory under which liability is asserted, including but not limited to:
- Breach of contract, express or implied;
- Negligence, gross negligence, or willful misconduct;
- Strict liability, products liability, or failure to warn;
- Breach of warranty, express or implied;
- Fraud, fraudulent inducement, or misrepresentation;
- Unjust enrichment or restitution;
- Tortious interference or violation of any statute, regulation, or common law duty.
8.5 Essential Basis of the Bargain
You acknowledge and agree that the limitations and exclusions of liability in this Section 8 are a fundamental and essential basis of the bargain between you and Zurich Biotech, reflect a fair allocation of risk, and would not be enforceable at the prices charged but for your agreement to these terms. If any limitation or exclusion is held unenforceable, the parties agree that the court shall modify it to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.
8.6 Third-Party Claims
Zurich Biotech shall not be liable for any claim, demand, or cause of action brought by any third party (including patients, research subjects, employees, contractors, visitors, or regulatory authorities) arising out of or relating to your purchase, possession, or use of the Products. You agree to defend, indemnify, and hold harmless the Zurich Biotech Parties from all such third-party claims, as more fully set forth in Section 11.
9. Post-Purchase Disclaimer: Zero Ongoing Obligation
9.1 Termination of Responsibility at Delivery
Zurich Biotech's responsibility for the Products ends definitively and irrevocably at the point of successful delivery to the shipping address you provided, as evidenced by carrier delivery confirmation or your signature. From that moment forward, all risk of loss, damage, deterioration, contamination, misuse, theft, unauthorized use, regulatory non-compliance, and any other consequence passes entirely, absolutely, and irrevocably to you. Zurich Biotech shall have no further obligation, duty, or liability of any kind with respect to the Products.
9.2 Storage & Handling
You are solely responsible for storing the Products under the conditions specified on the label and Certificate of Analysis, including but not limited to temperature, light exposure, humidity, and container integrity. Zurich Biotech shall not be liable for degradation, loss of potency, contamination, or any other alteration resulting from improper storage, handling, reconstitution, or preparation.
9.3 Prohibition on Human or Animal Use
You expressly acknowledge that any decision to administer, consume, inject, inhale, apply, or otherwise introduce the Products into a human body, animal body, or any living organism is a knowing and intentional violation of this Agreement. Zurich Biotech shall bear no responsibility, legal or moral, for any injury, illness, death, or other consequence resulting from such prohibited use. You further acknowledge that such use may constitute a criminal offense in your jurisdiction.
9.4 Third-Party Access
You are responsible for securing the Products against unauthorized access by minors, untrained personnel, visitors, contractors, or any other third party. Zurich Biotech shall not be liable for any harm, misuse, or illegal act involving the Products committed by any person other than Zurich Biotech's direct employees acting within the scope of their employment.
9.5 Research Outcomes
Zurich Biotech makes no representations or warranties regarding the results, outcomes, findings, publications, or intellectual property generated from research conducted with the Products. You are solely responsible for the design, execution, analysis, interpretation, and reporting of your research. Zurich Biotech shall not be liable for erroneous research conclusions, failed experiments, or negative research outcomes.
9.6 Resale & Redistribution
You may not resell, redistribute, transfer, donate, or otherwise convey the Products to any third party without Zurich Biotech's prior written consent. Any such transfer is at your sole risk, and you remain liable for the actions of any transferee. See Section 14 for additional restrictions.
9.7 Disposal
You are solely responsible for the safe, lawful, and environmentally responsible disposal of the Products, any unused portions, and any contaminated materials (syringes, vials, gloves, etc.) in accordance with all applicable hazardous waste, biomedical waste, and environmental protection regulations.
10. No Warranties: Products Sold "As Is"
10.1 Express Disclaimer
ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ZURICH BIOTECH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Any implied warranty of merchantability, fitness for a particular purpose, title, quiet enjoyment, or non-infringement;
- Any warranty that the Products will meet your expectations, requirements, research objectives, or performance criteria;
- Any warranty regarding the accuracy, completeness, reliability, timeliness, or usefulness of any information, data, protocol, or recommendation provided by Zurich Biotech;
- Any warranty that the Products are free from defects, contaminants, impurities, endotoxins, residual solvents, heavy metals, or other substances that may interfere with your research;
- Any warranty that the Products will remain stable, potent, pure, or effective for any specific duration under any specific storage or handling conditions;
- Any warranty that the Products comply with any specific regulatory standard, certification, accreditation, or guideline (including GMP, GLP, cGMP, ISO, or pharmacopeial standards);
- Any warranty that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
10.2 Certificate of Analysis Limitations
Certificates of Analysis are provided for informational purposes as a courtesy and do not constitute a warranty, guarantee, or representation of any kind. Analytical results reflect testing performed on a specific sample under specific conditions and may not be representative of every vial or batch. Zurich Biotech does not warrant that the analytical methods employed are appropriate for your intended use or that they detect all possible contaminants or impurities.
10.3 Batch Variability
You acknowledge that research-grade peptides and compounds are inherently variable in quality, purity, potency, stability, and physical characteristics (color, clarity, solubility, aggregation state). Minor variations between batches, vials, or shipments are normal and do not constitute defects. You bear the entire risk as to the quality and performance of the Products.
10.4 Force Majeure Supply Disruptions
Zurich Biotech does not warrant uninterrupted availability of any Product. Supply may be disrupted by raw material shortages, synthesis failures, equipment malfunctions, labor disputes, natural disasters, pandemics, geopolitical events, or regulatory actions beyond Zurich Biotech's control.
11. Indemnification: You Will Defend Zurich Biotech
11.1 Broad Indemnification Obligation
You agree to indemnify, defend, and hold harmless the Zurich Biotech Parties from and against any and all claims, demands, actions, suits, proceedings, investigations, judgments, decrees, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees, expert witness fees, court costs, and arbitration fees) arising out of or relating to:
- Your purchase, possession, receipt, storage, handling, use, misuse, abuse, disposal, or distribution of the Products;
- Your violation of any term, condition, representation, warranty, or covenant of this Agreement;
- Your violation of any applicable law, regulation, treaty, or international agreement;
- Your infringement or misappropriation of any intellectual property right, proprietary right, or privacy right of Zurich Biotech or any third party;
- Any harm, injury, death, or damage to any person (including yourself, employees, contractors, research subjects, or bystanders) or property caused or allegedly caused by the Products;
- Any regulatory action, investigation, inquiry, inspection, citation, fine, penalty, or proceeding initiated by any Regulatory Authority or law enforcement agency involving the Products;
- Any defamatory, libelous, or misleading statement made by you regarding Zurich Biotech or the Products;
- Any unauthorized resale, redistribution, or transfer of the Products to third parties.
11.2 Defense Cooperation
Upon written notice from Zurich Biotech of any claim subject to indemnification, you agree to:
- Promptly assume control of the defense of such claim with counsel reasonably acceptable to Zurich Biotech;
- Keep Zurich Biotech fully informed of all material developments;
- Not settle, compromise, or consent to any judgment without Zurich Biotech's prior written consent, which shall not be unreasonably withheld;
- Cooperate fully in the defense and in any related counterclaims or appeals.
11.3 Zurich Biotech's Right to Participate
Zurich Biotech reserves the right to participate in the defense of any indemnified claim with counsel of its own choosing at its own expense. Your obligation to indemnify shall survive the termination of this Agreement, the completion of any order, and the cessation of your relationship with Zurich Biotech.
11.4 Insurance
You represent that you maintain, or will maintain, adequate general liability, product liability, professional liability, and environmental liability insurance covering your research activities and the risks associated with the Products. Zurich Biotech is not an insurer and does not provide insurance coverage of any kind.
12. Intellectual Property & Confidentiality
12.1 Ownership
All intellectual property rights in and to the Website, the Products (including synthesis methods, formulations, and analytical protocols), logos, trademarks, trade names, product names, content, and materials are and shall remain the exclusive property of Zurich Biotech or its licensors. No license, express or implied, is granted to you except for the limited right to use purchased Products for their intended research purpose.
12.2 Restrictions
You agree not to:
- Reverse engineer, deconstruct, analyze, or attempt to derive the synthesis methods, formulation recipes, or manufacturing processes of the Products;
- Copy, reproduce, modify, create derivative works from, or distribute any content from the Website without written permission;
- Use Zurich Biotech's trademarks, logos, or branding in any manner that suggests endorsement, affiliation, or sponsorship without written consent;
- Register or attempt to register any Zurich Biotech trademark or confusingly similar mark in any jurisdiction.
12.3 Confidentiality
You agree to maintain the confidentiality of all non-public information disclosed by Zurich Biotech, including pricing, supplier identities, batch numbers, synthesis details, and customer lists. This obligation does not apply to information that is publicly available, independently developed by you without use of Confidential Information, or required to be disclosed by lawful court order.
13. No Returns, Refunds, or Exchanges
13.1 Final Sale Policy
Due to the sensitive, perishable, and potentially biohazardous nature of research peptides and compounds, all sales are final. Zurich Biotech does not accept returns, offer refunds, or process exchanges for any reason whatsoever, including but not limited to:
- Change of mind, buyer's remorse, or ordering errors attributable to you;
- Dissatisfaction with product quality, purity, appearance, solubility, or physical characteristics, except as expressly provided in Section 13.4;
- Shipping delays, customs holds, or delivery issues caused by carriers, customs authorities, or your failure to provide accurate information;
- Regulatory restrictions, import prohibitions, or legal compliance issues discovered after purchase;
- Damage occurring after delivery has been confirmed;
- Failure to obtain institutional approval, funding, or research authorization;
- Discontinuation or modification of a research project;
- Dissatisfaction with research outcomes or experimental results;
- Financial hardship or inability to pay.
13.2 No Cooling-Off Period
You acknowledge that research chemicals are not consumer goods subject to cooling-off periods, right of withdrawal, or distance selling regulations in most jurisdictions. Any statutory right of withdrawal that might otherwise apply is expressly waived by you to the maximum extent permitted by law.
13.3 Store Credit Discretion
In exceptional circumstances and at Zurich Biotech's sole and absolute discretion, a partial store credit may be issued for future purchases. Such credits are non-transferable, non-refundable, and expire twelve (12) months from issuance unless otherwise specified.
13.4 Pre-Delivery Damage Claims
In the rare event that a Product is demonstrably damaged, destroyed, or materially non-conforming prior to delivery, you must notify Zurich Biotech within twenty-four (24) hours of delivery with clear photographic evidence, a detailed description of the damage, and the original packaging. Zurich Biotech will review your claim and may, at its sole discretion, offer a replacement, partial credit, or no remedy. This provision is a discretionary courtesy, not a right, and does not constitute a warranty or guarantee.
14. Prohibited Uses & Resale Restrictions
14.1 Absolute Prohibitions
You agree that you will not, directly or indirectly, use the Products for any of the following purposes:
- Human consumption, administration, or self-experimentation of any kind;
- Veterinary use or administration to animals;
- Clinical trials, therapeutic treatment, or diagnostic procedures;
- Cosmetic, nutraceutical, or dietary supplement applications;
- Manufacture or compounding of finished drug products;
- Any illegal, fraudulent, or unauthorized purpose;
- Any purpose that violates this Agreement or any applicable law.
14.2 No Resale Without Authorization
You may not resell, redistribute, transfer, donate, broker, or otherwise convey the Products to any third party without Zurich Biotech's prior written authorization. Any authorized transfer must be documented and the transferee must agree in writing to be bound by this Agreement. Unauthorized resale constitutes material breach and may result in termination of your purchasing privileges, legal action, and referral to regulatory authorities.
14.3 End-User Verification
If you are a distributor, reseller, or intermediary (authorized or otherwise), you are responsible for verifying that all end-users are qualified researchers and that all end-uses comply with this Agreement. You shall maintain records of all sales and transfers for a minimum of five (5) years and shall provide such records to Zurich Biotech upon request.
15. Governing Law, Jurisdiction & Dispute Resolution
15.1 Governing Law
This Agreement shall be governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict of law principles or the United Nations Convention on Contracts for the International Sale of Goods (CISG).
15.2 Exclusive Jurisdiction
Subject to the arbitration provisions in Section 16, any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the courts of the Canton of Zurich, Switzerland, and you irrevocably submit to the personal jurisdiction and venue of such courts.
15.3 Waiver of Forum Non Conveniens
You waive any objection to the laying of venue in the courts of Zurich, Switzerland, including any claim that such courts are an inconvenient forum. You further waive any right to seek injunctive relief or other equitable remedies in any jurisdiction other than Zurich, Switzerland.
16. Class Action Waiver & Binding Arbitration
16.1 Agreement to Arbitrate
Any dispute, controversy, or claim arising out of or relating to this Agreement, the Products, the Website, or your relationship with Zurich Biotech (including disputes concerning the validity, interpretation, breach, termination, or enforceability of this Agreement) shall be resolved exclusively through binding arbitration administered by the International Chamber of Commerce (ICC) in accordance with its Arbitration Rules then in effect.
16.2 Arbitration Venue & Language
The seat of arbitration shall be Zurich, Switzerland. The arbitration shall be conducted in the English language. The tribunal shall consist of one (1) arbitrator appointed in accordance with ICC Rules. The arbitrator shall have expertise in international commercial transactions and scientific supply agreements.
16.3 Class Action Waiver
YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, REPRESENTATIVE ACTIONS, PRIVATE ATTORNEY GENERAL ACTIONS, OR COLLECTIVE PROCEEDINGS OF ANY KIND. All disputes must be brought in your individual capacity, and you may not seek relief on behalf of a class or group. The arbitrator shall have no authority to conduct class-wide or collective proceedings.
16.4 Waiver of Jury Trial
To the extent any dispute is not subject to arbitration, you irrevocably waive any right to a trial by jury in any legal proceeding arising out of or relating to this Agreement.
16.5 Confidentiality of Arbitration
All arbitration proceedings, evidence, transcripts, awards, and related materials shall be confidential and may not be disclosed to any third party except as required by law or to enforce the award. This confidentiality obligation survives the termination of this Agreement.
17. Force Majeure
Zurich Biotech shall not be liable for any failure or delay in performing its obligations under this Agreement where such failure or delay results from events, circumstances, or causes beyond its reasonable control, including but not limited to: acts of God; natural disasters; pandemics; epidemics; wars; terrorism; riots; civil unrest; government actions; regulatory changes; embargoes; sanctions; strikes; labor disputes; equipment failures; power outages; cyberattacks; internet disruptions; supplier failures; raw material shortages; transportation disruptions; or any other event that makes performance commercially impracticable. During a force majeure event, Zurich Biotech's obligations shall be suspended for the duration of the event plus a reasonable recovery period.
18. Severability & Entire Agreement
18.1 Severability
If any provision of this Agreement is held to be invalid, illegal, void, or unenforceable by a court or arbitral tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from this Agreement. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
18.2 Entire Agreement
This Agreement, together with any order confirmations, shipping notices, and supplementary policies expressly incorporated by reference, constitutes the entire agreement between you and Zurich Biotech regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, negotiations, representations, and discussions, whether oral or written, express or implied.
18.3 No Reliance on Extrinsic Representations
You acknowledge that you are not relying on any representation, warranty, or promise not expressly set forth in this Agreement. No statement, marketing material, social media post, or oral communication by any Zurich Biotech representative shall override, modify, or supplement the express terms of this Agreement.
19. Amendment & Waiver
19.1 Amendment
Zurich Biotech reserves the right to amend, modify, or update this Agreement at any time, for any reason, without prior notice. The most current version of the Agreement will be posted on the Website with a revised "Last Updated" date. Your continued use of the Website or placement of orders after such changes constitutes irrevocable acceptance of the amended Agreement. It is your responsibility to review this Agreement periodically.
19.2 No Waiver
No failure or delay by Zurich Biotech in exercising any right, power, privilege, or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, privilege, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, privilege, or remedy. No waiver shall be effective unless in writing and signed by an authorized representative of Zurich Biotech.
20. Electronic Acceptance & Signature
20.1 Manifestation of Consent
By checking the acceptance box at checkout, clicking "I Agree," creating an account, or completing a purchase, you manifest your electronic signature and affirmative consent to be bound by every provision of this Agreement. You agree that this electronic signature has the same legal force and effect as a handwritten signature under the Swiss Federal Act on Electronic Signatures (ZertES), the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN), the EU eIDAS Regulation, and all other applicable electronic signature laws.
20.2 Record Retention
You agree that Zurich Biotech may maintain electronic records of your acceptance, orders, communications, and transaction history. You waive any objection to the admissibility of such electronic records in any legal or arbitral proceeding.
20.3 No Withdrawal of Consent
Once given, your electronic acceptance and consent may not be withdrawn with respect to transactions already completed. Withdrawal of consent prospectively will not affect your obligations under this Agreement for orders placed prior to such withdrawal.
21. Data Privacy & Communications
21.1 Collection & Use
Zurich Biotech collects, processes, and stores personal data in accordance with its Privacy Policy and applicable data protection laws, including the Swiss Federal Act on Data Protection (FADP) and the EU General Data Protection Regulation (GDPR) where applicable. By using the Website and placing orders, you consent to such collection, processing, and storage.
21.2 Communications
You consent to receive electronic communications from Zurich Biotech, including order confirmations, shipping notifications, marketing materials, and policy updates. You may opt out of marketing communications at any time by following the unsubscribe instructions provided in such communications.
21.3 Disclosure to Authorities
You acknowledge and agree that Zurich Biotech may disclose your information to Regulatory Authorities, law enforcement agencies, or courts if required by law, court order, or in good faith belief that such disclosure is necessary to protect Zurich Biotech's rights, property, or safety, or to comply with legal obligations.
22. Survival
The following provisions shall survive the termination of this Agreement, the completion of any order, the cessation of your relationship with Zurich Biotech, and the closure of your account: Sections 3 (Nature of Products), 4 (Assumption of Risk), 5 (No Advice), 8 (Limitation of Liability), 9 (Post-Purchase Disclaimer), 10 (No Warranties), 11 (Indemnification), 12 (Intellectual Property), 14 (Prohibited Uses), 15 (Governing Law), 16 (Arbitration), 18 (Entire Agreement), and 23 (Contact).

Notices to you shall be sent to the email address associated with your account or the shipping address provided with your most recent order. Notices are deemed delivered upon sending if by email, or three (3) Working Days after mailing if by postal service.
23.2 Questions
If you have any questions about this Agreement, require clarification of any provision, or seek written authorization for a prohibited activity, you must contact Zurich Biotech in writing prior to placing any order. Verbal assurances from customer service representatives do not modify this Agreement.
23.3 Language
This Agreement is executed in the English language. In the event of any conflict between the English version and any translation, the English version shall prevail.
